Terms of service

1.agete-global is a website (the “Site") operated by A&S Co., Ltd. (the “Company", "we"). 

2. The Company shall set forth the terms of use (the "Terms") for the services provided through the Site (the “Services") as follows, and shall be defined in Article 3 by the Users who use the Services. The same applies below.

ⅰ.These Terms shall apply to all users with respect to the use of the Service.

ⅱ. The Company may change all or part of these Terms of Use from time to time by informing the Users of the changes to these Terms of Use and the contents of the revised Terms of Use and the effective date of the amended Terms of Use by posting on the Site or by e-mail or other appropriate means.

ⅲ.If the Company changes all or part of the Terms of Use in accordance with the preceding paragraph, the revised Terms shall apply to the use of the Service.

ⅳ. The “Member” is a natural person who has been issued a Company ID among the Service users and may use the Membership Services designated by the Company by logging in using the Company ID and the password set by the Member.

If the Member does not agree to the changes to the Terms of Use, the Member may terminate the contract for the Member Services after the notice of the changes to the Terms of Use and before the changes take effect. However, if the Member uses the membership service after a change in these Terms, it will be deemed that the Member has agreed to such change.

 

ⅰ. The User agrees in advance to the laws, ordinances, rules, notices, these Terms, the User Guide, the rules such as HELP, etc. separately stipulated by the Company, the Privacy Policy separately established by the Company, the Shopify Privacy Policy, and the Global-e Privacy Policy. ⅱ.Minors may not use the Service without the prior consent of a qualified legal representative.

 

For the purposes of these Terms, "User" means a person who has agreed to and approved all the contents of these Terms of Use and searches, browses, or uses the Service such as images, text, designs, logos, videos, programs, ideas, data, etc. ("Contents") provided by the Company.

 

If a User falls under any of the following items, the Company may suspend the use of the Service or take other measures deemed appropriate by the Company without prior notice.

(4) If it is found that the person has committed any of the acts set forth in Article 11 (Prohibited Matters) of the Terms of Use in the past;

(5) When the Company's partner detects the user's fraudulent activity.

(6) In the event of a violation of the following terms and conditions (including but not limited to these Terms) stipulated by the Company;

ⅱ.If the User wishes to purchase Products, etc., the User shall apply for the purchase of the Products, etc. in accordance with the method separately specified by the Company.

ⅲ.When the User clicks the button to place an order after confirming the delivery address, order details, etc. entered and registered by the User, and then receives an email from GLOBAL-E JAPAN Co., Ltd. to the User stating that the order details have been accepted, a sales contract for the Product, etc. shall be established between the User and GLOBAL-E JAPAN Co., Ltd.

ⅳ. Notwithstanding the provisions of the preceding paragraph, in the event of any misconduct or inappropriate act in connection with the use of the Service, GLOBAL-E JAPAN Co., Ltd. may cancel, terminate or take other appropriate measures regarding the sales contract.

ⅴ.Delivery of Products, etc. through the Service is limited to countries and regions separately specified by the Company.

 

ⅰ. The amount paid by the purchaser for the purchase of the Products, etc. is the sum of the purchase price of the Products, etc. including consumption tax, shipping fee, cash on delivery fee, and handling fee related thereto.

ⅱ. Payment for Products, etc. purchased through the Service shall be made by credit card in the user's name (limited to credit cards accepted by GLOBAL-E JAPAN Co., Ltd.) or by a payment method separately approved by GLOBAL-E JAPAN Co., Ltd.

ⅲ. When payment is made by credit card, the terms and conditions separately contracted between the user and the credit card company shall apply. In the event of any dispute between the User and the credit card company, etc. in connection with the use of a credit card, the User and the credit card company shall be responsible for resolving it.

 

ⅰ. Returns of Products, etc. shall be accepted only in the following cases:

  • (4) In the case of Products, etc. damaged during delivery, etc.

 Please note that for returns or exchanges not due to defective or incorrect items, customers are responsible for the return shipping costs and any applicable customs duties.

The Company shall not be liable for the quality, material, function, performance, compatibility with other Products, etc., or other defects in the Service, or any damages, losses, disadvantages, etc. arising from the Service, except in the case of liability for default or tort on the part of the Company, or in the case of compensation for damages due to impairment of the life or health of the User (including those specified in the preceding Article).

In the event of a problem caused by an unknown delivery address, etc., the Company shall complete the performance of the delivery obligation of the Goods and be exempted from such obligations by contacting the contact personal data registered by the User and delivering the Products, etc. to the delivery address designated at the time of purchase.

 

ⅰ.If the Service provides a link to another website or resource or a link from a third-party website or resource to the Service, the Company shall not be responsible for the content, use, and results of such link, including, but not limited to, legality, validity, accuracy, certainty, safety, currentness, and completeness. If the Company reasonably determines that the content of a linked website or resource is illegal or inappropriate for the management and operation of the Service, the Company may delete the linked website without any notice to the User.

ⅱ. If there is an advertisement (including but not limited to sweepstakes advertisements) or transactions with advertisers (including but not limited to participation in promotions such as sweepstakes) ("advertising") in the Service, the User shall conduct transactions with such advertisers at his/her own judgment and responsibility, and the Company shall not be liable for any such transactions. The Company shall provide the Service in accordance with the User's registration details, and shall be exempt from liability for damages incurred by the User and third parties due to errors in the registration details, except in the case of liability for default or tort on the part of the Company, or in the case of compensation for damages due to impairment of the life or health of the User.

ⅴ. If a User causes any damage to another User or a third party due to the use of the Service or a violation of these Terms, the User shall resolve the matter at its own responsibility and expense, and shall not cause any damage, loss, disadvantage, etc. to the Company.

ⅵ.If the User causes any damage to the Company due to a breach of this Agreement, the User shall compensate for such damages to a reasonable extent.

 

ⅰ. Users shall not engage in any of the following acts: In the unlikely event that damage occurs to the Company or a third party due to a violation of this Article, the User shall be responsible for compensating for all such damages. In addition, if a User violates this Article, the Company may arbitrarily suspend or discontinue the provision of the Service to such User.

(1) Acts that cause or may cause inconvenience, disadvantage, or damage to other Users, third parties other than other Users, or the Company.

(2) Acts that infringe or may infringe on intellectual property rights such as copyrights, portrait rights, personality rights, privacy rights, publicity rights, or other rights of other users, third parties other than other users, or the Company's copyrights.

(3) Acts of reselling or using the Service for other commercial purposes.

(4) Acts that violate public order and morals, good faith, or other acts that violate laws or regulations.

(5) Acts of registering personal data that contains false or misleading content.

(6) Acts of using content obtained through the Service outside the scope of private use by the User.

(7) Reproduction, modification, sale, publication, distribution, publication, or similar acts in respect of content obtained through the Service through other Users or third parties other than other Users.

(8) Acts of collecting, accumulating, or storing personal data of other users.

(9) Uploading computer viruses, computer code, files, programs, or other content designed to interfere with, destroying, or limiting the functions of computer software, hardware, or communication equipment, or transmitting them to the Service by means such as e-mail, etc., or any act that may interfere with the operation of the Service.

(10) Other behaviors or actions that damage the credibility of the Company, acts that the Company reasonably judges to be inappropriate, such as acts that interfere with the provision of the Service.

 

ⅰ.All intellectual property rights in the content provided through the Service shall belong exclusively to the Company.

ⅱ. Regardless of the purpose, the User shall not engage in any act prohibited by domestic or foreign copyright laws and other laws and regulations, such as unauthorized reproduction, or other unauthorized secondary use of the Company's content, and if such prohibited act is discovered, the Company shall immediately take legal action.

ⅲ.If any dispute arises between the User and a third party in violation of the provisions of this Article, the User shall resolve such dispute at its own responsibility and expense, and shall not cause any damage, loss, or disadvantage to the Company.

 

ⅰ. The Company collects the following personal data about the user's access history in order to investigate the user's access history and usage status, or to improve the Service to the user.

ⅰ. The use of the Service and the interpretation and application of this Agreement shall be governed by the laws of Japan.

ⅱ. In the event that a problem arises regarding the use of the Service that cannot be resolved by these Terms of Use or the Company's guidance and response, the Company and the User shall discuss and resolve the issue in good faith.

ⅲ. In the event of a dispute regarding the use of the Service, the Tokyo District Court or the Tokyo Summary Court shall be the court of jurisdiction.
